Affiliate Program Terms and Conditions

1. Agreement to Terms

By signing up to be an Affiliate in the Gudam Soft Affiliate Program ("Program"), you agree to be bound by the following terms and conditions ("Terms"). Please ensure you read them carefully before registering. If you do not agree with these Terms, you must not join the Program.

2. Commission Structure

You will earn a 50% commission on the first subscription payment only for every new, paying customer who signs up through your unique referral link and activates a paid plan. Commissions will be credited to your affiliate dashboard once the referred customer's payment is successfully processed and verified.

• Commissions are not awarded for free trial sign-ups, subsequent renewals, or upgrades.
• No commission will be paid for fraudulent or fake registrations.

3. Referral Obligations and Conduct

As an affiliate, you have a responsibility to represent our software accurately and ethically. Failure to adhere to these guidelines may result in the forfeiture of commissions or account termination.

• Educate the Customer: When referring a potential customer, you must ensure the business owner is fully informed about what our software does and its key features. You must also make them aware of our pricing structure, including the differences between monthly and annual packages. • No Misleading Claims: You may not make false or misleading statements about our services, pricing, or capabilities. Do not promise features that do not exist or guarantee specific business outcomes.
• Disclosure: You must clearly disclose your affiliate relationship when promoting our software. This is a legal requirement in many jurisdictions and builds trust with your audience.

4. Prohibited Activities

Engaging in any of the following activities will be considered a violation of these Terms and will lead to immediate account termination and forfeiture of any outstanding commissions.

• Fake Registrations: Creating fake accounts, using bots, or any fraudulent means to generate sign-ups is strictly prohibited.
• Self-Referrals: You cannot use your own affiliate link to purchase a subscription for yourself or your own business.
• Spamming: Unsolicited emailing (spam), link farming, or any other form of mass electronic communication is forbidden.
• PPC Bidding: You are not permitted to bid on keywords containing our brand name "Gudam Soft" or any variations of it in any pay-per-click advertising platform (e.g., Google Ads).

5. Payment Terms

Commissions are approved after a verification period to account for potential refunds or chargebacks. Approved commissions will be available for withdrawal from your affiliate dashboard.

• A minimum balance of [e.g., $50.00] is required to request a withdrawal.
• Payments will be processed within [e.g., 7-10] business days of a valid withdrawal request.
• Payments are made via the payment method in your affiliate account's withdrawal section.

6. Relationship of Parties

As an affiliate, you are an independent contractor, and nothing in this agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Gudam Soft. You have no authority to make or accept any offers or representations on our behalf.

7. Termination of Account

Either you or we may end this Agreement at any time, with or without cause, by giving the other party written notice. We reserve the right to terminate your account at any time for any violation of these Terms without notice or payment.

8. Modification of Terms

We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but are not limited to, changes in the commission rates, payment procedures, and Program rules. You will be notified of any changes, and your continued participation in the Program will constitute your agreement to the modifications.

9. Limitation of Liability

Gudam Soft will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages.
