1. Introduction and Acceptance of Terms

Welcome to Business Portal! These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Gudam Ghar ("Gudam Ghar," "we," "us," "our"). This agreement governs your access to and use of our cloud-based business portal, including any associated software, applications, services, features, and content (collectively, the "Service").

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree with any part of these Terms, you are prohibited from accessing or using the Service. If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Definitions

• "Service" refers to the Gudam Ghar platform, applications, features, and all related services, tools, and content provided by us.
• "User" means any individual, company, or other legal entity that creates an account and utilizes the Service.
• "Account" refers to the User's registered profile that enables access to the features and functionalities of the Service.
• "Subscription Plan" means the specific package of services and features offered by Gudam Ghar for a recurring fee, as detailed on our website.
• "User Content" means all data, information, text, files, documents, and other materials that you upload, post, store, or otherwise transmit while using the Service.
• "Intellectual Property" refers to all patents, copyrights, trademarks, trade secrets, and other proprietary rights related to the Service.

3. User Accounts and Responsibilities

• Accuracy of Information: You agree to provide true, accurate, current, and complete information during the registration process. You are responsible for maintaining and promptly updating your account information to ensure its accuracy.
• Account Security: You are solely responsible for maintaining the confidentiality and security of your account credentials (including username and password). You accept full responsibility for all activities that occur under your account, whether or not authorized by you. You must notify us immediately of any unauthorized use of your account or any other breach of security.
• Eligibility and Authority: You must be at least 18 years of age and possess the legal capacity to enter into a binding contract. If registering on behalf of a business, you warrant that you have the legal authority to bind that entity to these Terms.
• Account Sharing: User accounts are intended for a single designated user. Sharing account credentials with other individuals is strictly prohibited and may result in the suspension or termination of your account.

4. Subscription, Fees, and Payment Terms

Access to the Service is contingent upon the payment of fees associated with your selected Subscription Plan. All fees are as described on our website's pricing page.

• Billing Cycle: Subscription fees are billed in advance on a recurring basis (e.g., monthly or annually), as determined by the plan you select during registration or upgrade.
• Payment Authorization: By providing a valid payment method (e.g., credit card, mobile financial service), you expressly authorize us to charge the recurring subscription fees to that payment method. You are responsible for ensuring your payment information is current and valid.
• Automatic Renewal: To prevent service interruption, your subscription will automatically renew at the end of each billing cycle for a term equal to the original subscription term. You authorize us to charge the applicable subscription fee for the renewal term to your designated payment method, unless you cancel the subscription prior to the renewal date.
• Fee Adjustments: We reserve the right to modify our subscription fees or introduce new charges at our discretion. Any changes to the pricing will be communicated to you via email or a notice within the Service at least thirty (30) days before the changes take effect. Such changes will apply to your next billing cycle.
• Taxes: All fees are exclusive of any applicable taxes, levies, duties, or similar governmental assessments, including value-added, sales, use, or withholding taxes. You are responsible for paying all such taxes associated with your subscription.

5. Cancellation and Refund Policy

• Cancellation by User: You have the right to cancel your subscription at any time. You can do this through your account settings or by contacting our customer support. The cancellation will become effective at the end of your current, paid-up billing period. You will retain access to the Service until this date.
• General Non-Refundable Policy: You acknowledge and agree that any and all fees and charges paid for a Subscription Plan are final and strictly non-refundable. Due to the nature of digital services and the immediate access granted upon subscription, we do not provide refunds or credits for any partial subscription periods, unused service time, plan downgrades, or dissatisfaction with the Service.
• No Prorated Refunds: Upon cancellation, you will not be issued a prorated refund for the unused portion of your subscription term. It is your responsibility to cancel your subscription before the renewal date to avoid being charged for the next billing cycle.
• Limited Exception for Service-Initiated Suspension: A refund may be provided under one specific and limited circumstance. If Gudam Ghar suspends or terminates your account for its own convenience, and *not* as a result of your breach of these Terms, violation of law, or any suspicious, fraudulent, or malicious activity, we will issue a pro-rated refund for the prepaid, unused portion of your subscription term. Such a refund will be calculated from the date of suspension and processed within seven (7) business days. This exception does not apply if your account is suspended or terminated for cause.

6. Acceptable Use and Prohibited Conduct

Your license to use the Service is strictly conditional upon your compliance with these Terms. You agree that you will not, and will not permit any third party to:

• Use the Service for any purpose that is illegal, fraudulent, or prohibited by these Terms.
• Engage in any activity that interferes with or disrupts the integrity, performance, or security of the Service, its servers, or networks.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure and algorithms of the Service.
• Scrape, data-mine, or harvest any data from the Service without our prior written consent.
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.

7. User Content and Data Ownership

• Ownership of Your Data: You retain full ownership and all intellectual property rights to your User Content. We do not claim any ownership rights to the data you input into the Service.
• Limited License to Us: By providing User Content, you grant Gudam Ghar a worldwide, non-exclusive, royalty-free, and revocable license to host, use, process, display, and transmit your User Content solely as necessary for us to provide, maintain, and improve the Service for you.
• Responsibility for Content and Backups: You are solely responsible for the accuracy, quality, integrity, legality, and reliability of your User Content. We strongly recommend that you maintain regular backups of your data. We are not responsible for any loss or corruption of your User Content.

8. Intellectual Property Rights of Gudam Ghar

All rights, title, and interest in and to the Service itself (excluding User Content), including all associated software, code, user interface designs, branding, logos, and other intellectual property, are and will remain the exclusive property of Gudam Ghar. These Terms do not grant you any right to use our trademarks, logos, or brand features without our express written permission.

9. Confidentiality

Both parties agree to treat all non-public information received from the other party, which is marked as "Confidential" or should reasonably be understood to be confidential, with the same degree of care as they use to protect their own confidential information. This obligation will not apply to information that is publicly known or becomes publicly known through no breach of this agreement.

10. Service Availability and Maintenance

We will use commercially reasonable efforts to make the Service available 24/7, except for planned downtime for maintenance and any unavailability caused by circumstances beyond our reasonable control (e.g., force majeure events). We will endeavor to provide advance notice of any planned maintenance that may affect the availability of the Service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GUDAM GHAR, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

13. Indemnification

You agree to indemnify, defend, and hold harmless Gudam Ghar and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

14. Modifications to the Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect by posting an announcement on our website or sending an email to the address associated with your account. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

15. General Provisions

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Gudam Ghar is established, without regard to its conflict of law principles.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gudam Ghar regarding our Service and supersede all prior agreements and understandings.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
